Club Rules
The purpose of these rules is to ensure the enjoyment of all at
Cortijo el Azahar and to maintain the high standards of the Park. They are
written in the spirit of mutual goodwill and are open to amendment after debate
and a postal ballot requiring a two-thirds majority vote of members of the
Club. It is also expected that all members will want to keep their pitch tidy
and maintain the highest of standards in the communal areas and abide by the
site regulations as published and displayed at the Park.
For the avoidance of doubt and the purposes of
these rules a "shareholder" is the registered owner of one ordinary share in
the Rio Grande Motorhome Club Ltd, a company limited by guarantee, registered
number 04472681; The "Board of Directors" are those shareholders elected at a
general meeting of the Company and notified to Companies House; a "motorhome"
is a purpose built taxed and insured road vehicle constructed so as to provide
sleeping and eating facilities; a "fifth wheeler" is the combination of taxed
and insured tow vehicle and insured caravan where the articulated joint is
between the front and rear wheels of the tow vehicle and both elements of the
outfit are to be on the pitch when the outfit is used overnight; a "pitch" is
the area provided for a motorhome or fifth wheeler to park overnight; a
"Member" is the holder of an ordinary share in the Rio Grande Motorhome Club
Ltd or his/her spouse and is a "Full" Member; an "Associate Member" is proposed
by a Full Member and if approved by the Board of Directors of the Company is
able to enjoy independent free access in their own outfit to the nominating
Full Member's pitch but has no other rights; a "Guest" is a visitor using the
facilities of a Shareholder and the Shareholder's outfit - this concession is
at the discretion of the Board and is not an opportunity for commercial gain; a
"Customer" is a passing tourist seeking to use a vacant pitch in exchange for a
payment at the market rate set from time to time by the Board; Guests and
Customers will be given "temporary associate membership" for the duration of
their stay
- The shareholder has a single vote at general meetings of the
Company, holders of more than one share have a vote for each share held,
shareholders can appoint a proxy to vote on their behalf
- Ownership of an ordinary share provides a nominated pitch at
Cortijo el Azahar for the lifetime of the club or until the share is sold and
in the event of the club and the company being dissolved shareholders will
receive one equal share of any residual value after the payment of creditors
and the disbursment of costs
- Shares may be bequeathed as part of a Shareholder's
estate
- Shares to be sold must be offered to the Company as agent to
be sold at market value, an administration fee will be charged before the
proceeds are disbursed
- Shareholders will be required to pay an annual maintenance
charge to defray the ongoing cost of managing and running the park the charge
will be an equal share of the amount required to balance the annual budget as
approved at the Annual General Meeting held in June/July each year
- The Company will determine the range of mains services
available from time to time to each pitch in addition to fresh water and waste
disposal and Shareholders as consumers will be liable for immediate payment of
the full cost of any optional mains services used at their pitch
- Full Members may propose their children or parents as
Associate Members; all Associate Members must be approved by the Board
- Associate Members must provide written authorisation from the
Full Member on each occasion they wish to use the pitch
- On arrival or at the first reasonable opportunity all Members,
or Customers must report to Reception to identify themselves and register their
presence with a representative of the Club and comply with the site regulations
which will be both displayed and issued on registration. Before leaving any
outstanding charges must be paid
- The Shareholder is ultimately responsible for all charges
incurred by Associate Members using their pitch, however no liability will
accrue when a pitch is let to a Customer
- All vehicles and outfits coming onto or parked at Cortijo el
Azahar must at all times conform to the requirements of the country of
registration for use on a public road. Third Party Insurance as a minimum and
MOT Test Certificates (or national equivalent) must be available for production
and a current Vehicle Excise Duty tax disc must be displayed
- Overnight use of a pitch is restricted to motorhomes or
complete fifth wheeler outfits and up to a maximum of 50 weeks in any one year
(NB: In certain circumstances the tow vehicle component of a fifth wheel outfit
may be absent but permission of a member of the Board must be sought)
- Although conventional awnings, gazebos and kitchen tents of
modest size and of fabric construction are permitted no other annex,
construction or building is permitted on the pitch other than those provided by
the Club
- Between midnight and 0700hrs neither noise nor vehicle
movements are permitted to safeguard the comfort of the majority
- Shareholders wishing to make their vacant pitches available to
the property letting pool will need to give formal advance notice of the period
of availability measured in whole weeks (Sunday-Saturday). The Club will let
vacant pitches on demand and collect the fees. Excess income will be
distributed. One half of the income from those fees will be credited quarterly
to the management charge accounts of those members putting their pitch into the
pool in proportion to the number of weeks the pitch was made available in that
quarter. It will be irrelevant whether or not a pitch is actually used; it is
the availability that qualifies. A member using a pitch that was allocated to
the pool even for one night in the week will invalidate that whole week from
the calculation. The Club will retain half the total fee income to cover the
cost of administering the scheme, and disbursing the benefits
- The Board of Directors acting as the executive of the Club
reserves the right to suspend the rights of membership of any member of the
Club, associate or full, for any period or to compulsory re-sell the share of
any Shareholder in breach of the rules for market value less an administration
charge of 25% of that value. Any property left at Cortijo el Azahar in breach
of the rules may be seized and disposed of by any means. A tribunal consisting
of three members of the Board, properly advised, may be sufficient to implement
the compulsory purchase. In the event of an appeal the Chairman of the Board
will appoint a panel of at least four Shareholders not Directors to join with
him to review the decision and that decision will be final
